Call Agent AI, Inc.
These Terms of Service (“Terms”) govern the use of the Call Agent AI platform and related services (“Services”) provided by Call Agent AI, Inc., a company incorporated in Ontario, Canada (“Call Agent AI,” “we,” “our,” or “us”).
By signing these Terms or by accessing or using the Services, the customer (“Client” or “User”) agrees to be bound by these Terms.
By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.
Call Agent AI provides AI-powered voice and conversational automation services, including but not limited to:
Answering inbound calls and inquiries
Outbound calling and campaign workflows
Appointment booking and scheduling assistance
Call transfers and routing
CRM integrations and automated data logging
Service features and availability may change from time to time.
The Client is solely responsible for how the Services are configured and used. The Client agrees to:
Provide accurate, current, and complete information
Use the Services only for lawful purposes
Comply with all applicable local, national, and international laws
Ensure proper consent for calling, messaging, recording, and data processing
Maintain control over authorized users and access credentials
Billing is based on the Client’s selected subscription plan and applicable usage.
Unless otherwise agreed:
Subscription fees are billed on a recurring basis
An automatic usage top-up feature may be enabled to prevent service interruption
Notifications may be sent when usage thresholds are reached
All pricing, usage limits, and billing details are governed by the applicable quote, order form, or commercial agreement and are separate from these Terms.
If a subscription is canceled mid-billing period:
No refund will be issued for the current billing period
Service access will continue until the end of that billing period
No further charges will be applied after cancellation
The Services may integrate with or rely on third-party platforms, including but not limited to:
Telephony and messaging providers (e.g., Twilio)
Scheduling platforms (e.g., Cal.com)
CRM platforms (e.g., Zoho CRM)
The Client acknowledges that:
Third-party services are governed by their own terms, policies, and compliance requirements
Call Agent AI does not control third-party platforms
Third-party outages, pricing changes, or service interruptions are outside Call Agent AI’s control
Call Agent AI provides and manages the AI models used within its platform.
The Client is responsible for complying with all third-party provider policies, acceptable use standards, and regulatory requirements.
The Client understands that third-party providers (such as telephony providers) may suspend or terminate services if they determine that usage violates their policies or applicable laws.
Call Agent AI is not responsible for:
Suspension, limitation, or termination of third-party accounts
Any resulting service disruption or loss of functionality
This applies even if such actions affect the Client’s ability to use the Services.
The Client agrees not to use the Services for:
Illegal, deceptive, or fraudulent activities
Unauthorized robocalling or messaging
Spam, harassment, or misleading communications
Any activity that violates telecommunications, privacy, or data protection laws
Call Agent AI reserves the right to suspend or restrict access if misuse is reasonably suspected.
The Client retains ownership of its data.
Call Agent AI processes data solely to provide the Services, in accordance with its Data Privacy Policy. By using the Services, the Client consents to such data processing.
All software, technology, trademarks, and intellectual property related to the Services are owned by Call Agent AI, Inc.
No ownership rights are transferred to the Client under these Terms.
The Services are provided on an “as is” and “as available” basis.
Call Agent AI makes no warranties, express or implied, and does not guarantee uninterrupted, error-free, or outcome-specific performance.
To the maximum extent permitted by law:
Call Agent AI is not liable for indirect, incidental, or consequential damages
The Client agrees to indemnify and hold harmless Call Agent AI, Inc., its officers, employees, and agents from claims arising from misuse of the Services or violation of these Terms
Call Agent AI may suspend or terminate access to the Services if:
These Terms are violated
Usage is deemed harmful, unlawful, or non-compliant
Termination rights are subject to the applicable commercial agreement.
Call Agent AI is not liable for delays or failures caused by events beyond reasonable control, including but not limited to:
Natural disasters
Acts of war or terrorism
Government actions
Internet, infrastructure, or utility failures
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Call Agent AI reserves the right to modify these terms at any time.
Continued use of the Services after changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada.
Any disputes shall be resolved in the courts of Ontario, Canada.
